1. proposed recurrent related party transactions of a revenue and trading nature entered into between SCIB and its subsidiaries and Serba Dinamik Holdings Berhad and its subsidiaries ("Proposed RRPTs"); and

2. proposed private placement of up to 36,750,000 new ordinary shares in SCIB ("SCIB Share(s)"), representing up to approximately 30.0% of the enlarged total number of issued SCIB Shares ("Proposed Private Placement").
