Multiple Proposals

The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Proposals.

We refer to the earlier announcements dated 27 August 2020 and 14 September 2020.

On behalf of the Board, UOB Kay Hian wishes to announce that Bursa Securities has, vide its letter dated 9 October 2020, resolved to approve the following:-

(i) Listing and quotation for 367,897,500 Bonus Shares to be issued pursuant to the Proposed Bonus Issue of Shares;

(ii) Admission to the Official List and listing and quotation for 245,265,000 Warrants to be issued pursuant to the Proposed Issue of Free Warrants; and

(iii) Listing and quotation for 245,265,000 new SCIB Shares to be issued arising from the exercise of the Warrants.

The approval granted by Bursa Securities for the above is subject to the following conditions:-

(i) SCIB and UOB Kay Hian must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities ("Listing Requirements") pertaining to the implementation of the Proposals;

(ii) SCIB and UOB Kay Hian to inform Bursa Securities upon the completion of the Proposals;

(iii) SCIB and UOB Kay Hian to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposals are completed;

(iv) SCIB and UOB Kay Hian are required to make the relevant announcements for the Proposed Bonus Issue of Shares pursuant to Paragraph 6.35(2)(a)&(b) and 6.35(4) of the Listing Requirements;

(v) SCIB is required to furnish Bursa Securities with a certified true copy of the resolutions passed by the shareholders at the extraordinary general meeting approving the Proposals; and

(vi) SCIB to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of Warrants as at the end of each quarter together with a detailed computation of listing fees payable.
